Please read these Terms of Use ("Terms") carefully before accessing or using the website, services, and content provided by Trinity Consulting Associates ("Trinity," "we," "us," or "our"). These Terms constitute a legally binding agreement between you, the user, and Trinity Consulting Associates.

By accessing or using any part of the website, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, you may not access the website or use any services.

 

1. Description of Services

Trinity Consulting Associates provides professional business-to-business (B2B) consulting services focused on workflow automation and the strategic application of Artificial Intelligence (AI) for real estate professionals. Services include automation strategy, roadmap development, workflow design and implementation, integration services, and education/training, offered via tiered packages (e.g., "Jumpstart," "Productivity Pro," "Elite Agent Automation").

This website serves as an informational, marketing, and lead generation platform for these services.

2. User Obligations and Conduct

2.1 Lawful Use. You agree to use the website and services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the website.

2.2 Prohibited Conduct. You agree not to engage in any activity that could damage, disable, overburden, or impair the website or interfere with any other party's use of the website. Prohibited actions include:

  1. Attempting to gain unauthorized access to any part of the website or any of our systems.
  2. Using the website to transmit any unsolicited commercial communications (spam).
  3. Uploading or transmitting any viruses, worms, or other malicious code.

2.3 Account Security. If we provide you with account access or login credentials related to your paid services, you are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

3. Intellectual Property Rights (IP)

3.1 Trinity Property. All content on the website (including text, graphics, logos, and service marks) is the exclusive property of Trinity Consulting Associates or its licensors and is protected by intellectual property laws.

3.2 Ownership of Deliverables. The AI workflows, code, automation strategies, and proprietary documents developed and delivered to you as part of a paid consulting service ("Deliverables") remain the intellectual property of Trinity Consulting Associates until full and complete payment for those Deliverables is received. Upon full payment, Trinity grants the client a non-exclusive, non-transferable, revocable license to use the specific Deliverables solely within their internal business operations as a real estate professional.

3.3 No Reverse Engineering. You shall not modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Deliverables or the underlying technology.

4. Financial Terms and Subscription Services

4.1 Pricing. Pricing for our consulting and retainer services is outlined in separate contractual agreements, proposals, and invoices.

4.2 Payment. Fees for project-based services (e.g., Opportunity Assessments) generally require a partial upfront payment, with the remainder due upon completion. Fees for ongoing support and the "AI Team as a Service" are billed on a monthly retainer or subscription basis, payable in advance. All payments must be made through an established payment processor as directed by Trinity.

4.3 Automatic Renewal. If you enter into a monthly retainer or subscription agreement, that agreement will automatically renew for subsequent monthly periods unless terminated by either party with written notice as specified in the service agreement.

4.4 Taxes. You are responsible for all applicable taxes arising from your purchase of services, excluding taxes based on Trinity's net income.

5. Disclaimers and Limitation of Liability

5.1 Disclaimer of Warranties. The website and its content are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement. Trinity does not warrant that the website will be uninterrupted or error-free.

5.2 Limitation of Liability. To the maximum extent permitted by applicable law, Trinity Consulting Associates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  1. Your access to or use of, or inability to access or use, the services or website.
  2. Any conduct or content of any third party on the website.

The maximum aggregate liability of Trinity Consulting Associates to you for any claim arising out of or relating to these Terms or the services shall not exceed the amount you have paid to Trinity Consulting Associates for the services in the six (6) months preceding the claim.

6. Indemnification

You agree to indemnify, defend, and hold harmless Trinity Consulting Associates and its agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the services, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.

7. Governing Law and Dispute Resolution

7.1 Governing Law. These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles.

7.2 Jurisdiction. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the website will be exclusively subject to the jurisdiction of the state and federal courts located in Missouri.

8. Changes to the Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our website after any revisions become effective, you agree to be bound by the revised terms.
